LIMITED MANUFACTURER WARRANTY
MODEL YEAR 2027
Customer Notice: This Limited Warranty applies only to Yellowfin vessels designated as Model Year 2027 (“MY27”). For purposes of determining applicability, the Vessel’s model year shall be determined by the last two (2) digits of the model year designation contained within the Vessel’s Hull Identification Number (“HIN”), as affixed to the Vessel by Yellowfin.
Yellowfin Yachts, LLC (“Yellowfin”) provides the following Limited Manufacturer Warranty (the “Limited Warranty”) to the Original Customer and any Authorized Transferee of this Vessel, subject to the remedies, limitations and exclusions set forth below.
Each of the warranty coverage periods defined below starts on the Date of Sale to the Original Customer and applies only to those specifically covered defects that are Reported to Yellowfin within the applicable warranty period and pursuant to the procedures and requirements set forth in this Limited Warranty.
Yellowfin reserves the right to determine at its sole discretion whether any claimed defect is covered under the terms of this Limited Warranty. In all instances, the Vessel must have been purchased from an Authorized Dealer.
A. DEFINITIONS
Capitalized terms used in this Limited Warranty have the meanings set forth below.
- “AAA” means the American Arbitration Association.
- “Authorized Dealer” means a dealer or sales agent authorized in writing by Yellowfin to sell the Vessel as a new recreational Vessel at retail.
- “Authorized Service Center” (or “Authorized Service Location”) means a service provider (including an Authorized Dealer) expressly authorized in writing by Yellowfin to perform warranty work on the Vessel.
- “Authorized Transferee” means a subsequent owner to whom the unexpired portion of this Limited Warranty is transferred only in accordance with the Warranty Transfer and Acceptance Procedure and confirmed by Manufacturer in writing. An Authorized Transferee is included within the definition of “Owner.”
- “Bill of Sale” means a fully executed bill of sale (or equivalent lawful transfer document reasonably acceptable to Manufacturer) evidencing a transfer of ownership of the Vessel.
- “Commercial Use” means any use of the Vessel intended to generate revenue or income, including without limitation rental, charter, lease, shared-use/boat-club use, fee-for-service operation, or racing, even if only occasional.
- “Customer Support Department” means Manufacturer’s customer support function designated to receive warranty communications and administer warranty registration and transfers.
- “Date of Sale” means the date of the original retail sale and delivery of the Vessel to the Original Customer by an Authorized Dealer (the date from which Warranty Periods run).
- “Defect” means a nonconformity in materials or workmanship attributable to Manufacturer that arises under normal Recreational Use and Normal Operating Conditions.
- “Factory” means Manufacturer’s principal manufacturing or service facility designated by Manufacturer for warranty work.
- “Gelcoat” means the exterior resin-based finish applied to fiberglass laminate surfaces, excluding any aftermarket coatings or finishes.
- “Governmental Use” means any military, paramilitary, police, fire-rescue, municipal, state, federal, or other governmental service use of the Vessel, including training and patrol.
- “HIN” means the Hull Identification Number (also referred to as “hull serial number”) affixed to the Vessel.
- “Hull” means the single molded fiberglass shell of the Vessel and its integral structural components, including stringers, structural bulkheads, transom, deck, and deck liner, but excluding gelcoat and other cosmetic finishes, paint, fairing compounds, hardware, fasteners, rigging, wiring, plumbing, electronics, engines, accessories, and add-on components.
- “Hull Blistering” (or “Osmotic Blistering”) means osmotic blistering of the Hull resulting from a defect in materials or workmanship, and not from maintenance, storage, bottom coatings, environmental exposure, or normal aging.
- “Manufacturer” means Yellowfin Yachts, LLC and its successors and permitted assigns.
- “Normal Operating Conditions” means use of the Vessel in a prudent manner consistent with Manufacturer’s manuals and guidance, applicable laws, and generally accepted safe seamanship for a recreational craft of similar type and size, including proper loading, powering, operation, docking, and storage.
- “Normal Wear and Tear” means the gradual and expected deterioration of the Vessel or any component resulting from ordinary use, age, exposure, or maintenance over time, and not from a Defect. Wear and Tear includes, without limitation: fading, chalking, oxidation, corrosion, galvanic action/electrolysis, crazing or stress lines, minor gelcoat cracking, discoloration, staining, water spotting, surface scratches, chips, dents, scuffs, abrasions, normal loosening/settling of fasteners and fittings, compression of cushions/foam, stretching or shrinkage of fabrics/canvas, seams/zipper wear, routine alignment/adjustment items, and wear of consumables or sacrificial items (including zincs, filters, bulbs, batteries, wiper blades, antifouling bottom paint, and coatings). Normal Wear and Tear excludes deterioration that directly results from a covered Defect in materials or workmanship.
- “Original Customer” means the original retail purchaser who buys the Vessel as a new Vessel from an Authorized Dealer for Recreational Use.
- “Owner” means, collectively, the Original Customer and any Authorized Transferee, provided that all requirements of this Limited Warranty are satisfied.
- “Recreational Use” means personal, family, or household use that is non-commercial and non-governmental.
- “Repair Facility” means the Warbird Performance Center facility located at 4700 NW 132nd St., Opa Locka, FL 33054.
- “Reported” (or “Reported Within”) means that Owner has provided timely notice that satisfies the Owner Responsibilities section, including the required information and delivery method (including any certified-mail requirement for notices sent directly to Manufacturer), within the stated time period.
- “Small Components” means minor, non-structural, non-cosmetic components and accessories installed on the Vessel, including without limitation: switches, switch panels, relays, fuses and breakers, light fixtures (interior, exterior, courtesy, navigation, and compartment), horns, float switches, and general-purpose pumps (including bilge, livewell, washdown, freshwater, and shower sump pumps), and similar minor electrical or plumbing items; provided, however, that Small Components do not include any Third-Party Components or any items sold with a separate written warranty from a manufacturer, supplier, or distributor other than Manufacturer.
- “Structural Hull Defect” means a Defect in the Hull (as defined above) in materials or workmanship that causes the Vessel to be unfit or unsafe for general use as a recreational craft under Normal Operating Conditions. Structural Hull Defect excludes cosmetic issues, gelcoat issues (including stress cracks, crazing, and fading), and conditions caused by impact, grounding, misuse, modifications, improper repairs, improper storage, or lack of maintenance.
- “Third-Party Components” means equipment and components not manufactured by Manufacturer that are supplied with separate manufacturer warranties, including without limitation engines, transmissions, generators, air conditioning systems, thrusters, stabilizers, electronics, batteries, appliances, propellers, pumps, and trailers.
- “Upholstery & Canvas” means interior/exterior fabrics, vinyl, foam, cushions, coverings, biminis, enclosures, covers, and similar soft goods supplied or installed by Manufacturer, excluding normal wear and environmental deterioration.
- “Vessel” means the specific boat/yacht manufactured by Manufacturer identified by its HIN, originally sold to the Original Customer by an Authorized Dealer.
- “Warranty Period” means the applicable coverage period described in the Warranty Periods section, measured from the Date of Sale.
- “Warranty Registration Card” means Manufacturer’s warranty registration document (or electronic equivalent) submitted by the Authorized Dealer to activate this Limited Warranty.
- “Warranty Transfer and Acceptance Procedure” means Manufacturer’s then-current written procedure for transferring the unexpired portion of this Limited Warranty, including required forms, documentation, fees (if any), and any survey or inspection requirements.
- “Warranty Transfer Form” means Manufacturer’s then-current warranty transfer form required as part of the Warranty Transfer and Acceptance Procedure.
B. COVERED PRODUCTS
- Yellowfin’s Limited Warranty applies only to a Vessel purchased for Recreational Use from the Manufacturer or an Authorized Dealer by the Original Customer or subsequently transferred to an Authorized Transferee in accordance with the terms of this Limited Warranty. Any Commercial Use (as defined herein) of the Vessel at any time during the Warranty Period shall immediately void and nullify this Limited Warranty.
- Boats which have been salvaged or declared a constructive total loss are also specifically excluded for coverage under this warranty.
C. WARRANTY PERIODS
- Twelve (12) Year Structural Hull Limited Warranty – Any Structural Hull Defect, as defined herein, in materials or workmanship which is Reported within twelve (12) years of the original Date of Sale to Original Customer will be repaired or replaced at the sole discretion of Yellowfin. “Hull” and “Structural Hull Defect” shall have the definitions ascribed to them in Section A “Definitions” above.
- One (1) Year Limited Warranty on Materials, Components and Accessories – Defects in materials or workmanship of any materials, components or accessories manufactured or installed manufactured by Yellowfin which are Reported within one (1) year of the original Date of Sale by the Original Customer will be repaired or replaced at the sole discretion of Yellowfin. This One (1) Year Limited Warranty on Materials specifically excludes (i) all Upholstery and Canvas (as defined herein), (ii) those excluded components described below in Section D. “Exclusions and Limitations”, (iii) all Thirty-Party components with specific manufacturer’s warranty, regardless of the duration of such original manufacturer’s warranty, and (iv) all damage or deterioration caused by Normal Wear and Tear.
- 90-day Limited Warranty on Upholstery & Canvas – Defects in materials or workmanship of Upholstery and Canvas manufactured or installed by Yellowfin which are Reported within ninety (90) days of the original Date of Sale to Original Customer will be repaired or replaced at the sole discretion of Yellowfin. This 90-day Limited Warranty on Upholstery & Canvas specifically excludes (i) all components with specific manufacturer’s warranty, regardless of the duration of such original manufacturer’s warranty, and (ii) all damage or deterioration caused by Normal Wear and Tear.
- One (1) year limited Warranty on Powder Coat, Painted, or Gel Surfaces: Deterioration or discoloration of any surface finishes including chipping, flaking, fading, oxidation, crazing or stress lines in any powder coated, painted or gel coated surfaces, stainless steel, aluminum, plated or anodized finishes, plastic or acrylic materials, and wood finishes.
- 30-Day Limited Warranty on Small Components – Defects in materials or workmanship of Small Components that are Reported within thirty (30) days of the Date of Sale will be repaired or replaced at the sole discretion of Yellowfin. This 30-Day Limited Warranty does not apply to (i) any item sold with a separate written warranty from a third party, (ii) consumables or sacrificial items, (iii) damage caused by misuse, improper maintenance, improper installation, improper storage, corrosion/electrolysis/galvanic action, impacts/grounding, or unauthorized modifications or repairs.
D. EXCLUSIONS & LIMITATIONS
Yellowfin makes no warranty, express or implied, with respect to:
- Third-Party Components (as defined herein) not manufactured by Yellowfin. Any warranties on Third-Party Components are made solely by the applicable third-party manufacturer/supplier/distributor. To the extent transferable or assignable, Manufacturer passes through to Owner any warranty rights it may have for such items and will reasonably cooperate to facilitate claims. As between Owner and Manufacturer, Owner’s sole remedy for such items is under the applicable third-party warranty, if any.
- Any defect caused by, resulting from or in connection with the modification or installation by any third party of any devices or parts including, without limitation, engines, electronics, instruments, pumps, hardtop, aluminum for hardtop, etc.
- Hull Blistering or Osmotic Blistering.
- Any adjustment, realignment, repair or replacement made necessary by normal wear and tear.
- Representations or implications related to weight, speeds, fuel consumption, range or other estimated performance characteristics that may vary from boat to boat.
- Deterioration, discoloration, mold, or mildew of any interior or exterior Upholstery, Canvas, or other fabrics.
- Outside the one (1) year warranty period set forth in Section C(4), deterioration or discoloration of any surface finishes including scratching, chipping, flaking, fading, oxidation, crazing or stress lines in any powder coated, painted or gel coated surfaces, stainless steel, aluminum, plated or anodized finishes, plastic or acrylic materials, and wood finishes.
- Deterioration of materials and coatings designed to be sacrificial or with designed limited lifetime including, but not limited to antifouling bottom paint, underwater gear coatings and zinc anodes, filters, bulbs, batteries, wiper blades.
- Damage or deterioration caused by normal environmental exposure including electrolysis, crevice corrosion, galvanic corrosion, including damage to underwater equipment.
- Any component or system affected by repairs, modifications, alterations, or adjustment made by anyone other than Yellowfin or its designee without Yellowfin’s prior written authorization including damage to product made by attachment of hardware or other non-factory installed components, equipment, and accessories, including any dealer installed components.
- Defects or damage resulting from failure to complete reasonable, routine maintenance, including improper maintenance, and improperly performed repairs.
- Routine maintenance adjustments or alignments of any components including hinges, latches, catches, doors, and drive train components.
- Damage or deterioration caused by Normal Wear and Tear.
- Damage caused by collisions, accidents, grounding, overpowering, overloading or misuse or abuse of the boat including damage caused by failure of users to reasonably and properly store or secure accessories and personal equipment onboard the Vessel.
- Damage caused by improper towing, trailering, launching, hauling or storage.
- Damage caused by storms, rain, flooding, wind damage, or other acts of nature.
- Damage resulting from abuse, misuse, accident, impact, overloading, excessive wear and tear, operation in a named storm, operation outside the normal operating parameters of the Boat, including as described in the owner’s manual or other provided or published guidelines (collectively, the “Owner’s Manual”) for the Boat including, but not limited to, use in excessive seas, overloading, or powering in excess of the maximum horsepower.
- Any defect or repair requiring redesign of the Vessel or claims of noncompliance with the laws, regulations, rules, or recommended standards of any trade association, governmental or regulatory body or agency, other than the governmental bodies or agencies of the United States except where specifically required under the recall provisions of the United States Federal Boating Safety Act or the safety recall laws of any foreign jurisdiction.
- Expenses for hauling out and transportation to and from the dealer or Authorized Service Center for warranty service.
- Vessels used in violation of instructions provided by Yellowfin or any governmental laws, regulations, or rules.
- Damage to hard top interior components due to improper sealant of holes for radars, cameras, etc. during transportation of the vessel.
E. WARRANTY REGISTRATION & TRANSFER
This Limited Warranty is activated by the authorized selling dealer (or agent) registering the sale through submission of the Yellowfin Limited Warranty Registration Card document to Yellowfin within thirty (30) days of the delivery of the Vessel to the Original Customer.
F. TRANSFER OF WARRANTY
This Limited Warranty is provided only to the Original Customer of the Vessel from an Authorized Dealer but can be transferred to one (1) subsequent owner. No warranty coverage is extended beyond Original Customer unless Owner follows Yellowfin’s prescribed “Warranty Transfer and Acceptance Procedure”. The unexpired portion of this Limited Warranty may be transferred only if: (a) the new owner submits a Yellowfin Yachts Warranty Registration Transfer Form and a copy of the Bill of Sale, and (b) Yellowfin authorizes the transfer in writing in its sole discretion, which may require Yellowfin’s satisfaction after review of a survey. Contact Yellowfin’s Customer Support Department for assistance with transferring this Limited Manufacturer Warranty.
Notwithstanding anything else set forth in this Limited Warranty, only the unexpired portion of the Twelve (12) Year Structural Hull Limited Warranty can be transferred. Any attempts to transfer any other part of this Limited Warranty are null and void.
G. OWNER RESPONSIBILITIES
- Notwithstanding anything to the contrary, no obligation under this Limited Warranty shall arise unless Owner contacts an Authorized Dealer or Yellowfin within thirty (30) days of the date a defect is identified, or should reasonably have been discovered, describing the nature of the defect, the date it was discovered, the hull serial number, the date of original purchase, and the original selling dealer (or agent) along with Owner’s name, address, phone number, and email. Any notices given directly to Yellowfin or an Authorized Dealer must be in writing and delivered by certified mail with return receipt requested. The Authorized Dealer will notify Yellowfin, who shall determine within thirty (30) days to authorize or deny the claim, and provide such notice to Owner via writing, email, or telephone.
- Owner shall be responsible for the proper care, maintenance, cleaning, storage, and operation of the Vessel in accordance with the instructions, recommendations, schedules, and procedures set forth in the applicable Owner’s Manual(s), component manufacturer manuals, and generally accepted marine industry practices. Such responsibilities include, but are not limited to, routine washing, removal of salt and corrosive deposits, drying of compartments and components, periodic waxing and surface protection, inspection and maintenance of finishes and coatings, proper ventilation, and the prompt correction of conditions that could reasonably result in deterioration or damage. Owner shall maintain records evidencing compliance with recommended maintenance and service requirements and shall provide such records upon Yellowfin’s request in connection with any warranty claim. Failure to properly maintain, care for, clean, store, or operate the Vessel in accordance with the foregoing requirements may result in accelerated wear, corrosion, deterioration, discoloration, cosmetic damage, or component failure. Yellowfin reserves the right, in its sole but reasonable discretion, to deny warranty coverage for any condition, defect, damage, or failure that is caused by, contributed to by, or exacerbated through inadequate maintenance, improper care, neglect, misuse, abuse, improper storage, environmental exposure, failure to follow the Owner’s Manual, or failure to adhere to generally accepted marine maintenance practices.
- If Yellowfin determines a claim is authorized, Owner shall thereafter deliver the Vessel, at its sole expense, to the Authorized Dealer, Authorized Service Location or the Yellowfin factory. Yellowfin or its Authorized Dealer or Repair Facility shall have a commercially reasonable time to make any repair or replacement which shall take into account the complexity of the repair and time it takes to order and receive necessary parts from third parties. Owner must obtain Yellowfin’s written approval before making any repairs to the Vessel pursuant to this Limited Warranty.
- Owner should promptly provide written notice to Yellowfin if the Authorized Dealer fails to satisfactorily repair the claimed defect within a commercially reasonable time of receipt of the Vessel at the Repair Facility or if the defect is not satisfactorily repaired after one repair attempt.
- To the extent permitted by law, legal claims relating to the Vessel will be barred unless suit is filed within one (1) year from the date the cause of action accrues, regardless of the time remaining in the applicable warranty period. Owner must fully cooperate in good faith with Yellowfin to allow repair or replacement as provided above, failing this cooperation renders this Limited Warranty is null and void. Repaired or replaced items will be warranted for the remaining balance of the applicable warranty period. Parts or components that are replaced shall become the property of Yellowfin.
H. MODIFICATION & SEVERABILITY
The terms of this Limited Warranty cannot be modified, amended, or waived except through written agreement signed by an officer of Yellowfin. The invalidity or unenforceability of any one or more provisions of this document shall not affect the validity of enforceability of the other provisions.
I. OTHER LIMITATIONS
YELLOWFIN GIVES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, ON THIS VESSEL AND DISCLAIMS: (1) ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AS WELL AS ANY CONTRACTS OR REPRESENTATIONS BY ANY PARTY WITH RESPECT TO THIS VESSEL, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE (TO THE EXTENT SUCH CANNOT BE DISCLAIMED, THEY ARE LIMITED TO THE DURATION OF THE APPLICABLE EXPRESS LIMITED WARRANTIES HEREIN); (2) ANY LIABILITY FOR ECONOMIC LOSS ARISING FROM CLAIMS OF DEFECTS, PRODUCT FAILURE, NEGLIGENCE, DEFECTIVE DESIGN, FAILURE TO WARN OR INSTRUCT, LACK OF SEAWORTHINESS, AND ANY OTHER THEORY OF LIABILITY; AND (3) ANY LIABILITY FOR: INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, COSTS OR EXPENSES, INCLUDING BUT NOT LIMITED TO: LOSS OF TIME, USE, VALUE OR INCONVENIENCE; RENTAL CHARGES, TRAVEL EXPENSES, CAPTAIN’S AND CREW MEMBERS’ SALARIES; LOSS OF OR DAMAGE TO PERSONAL PROPERTY; DOCKAGE FEES, TOWING AND STORAGE CHARGES, AND THE COST OF TRANSPORTATION FOR REPAIR TO ANY REPAIR FACILITY; WHETHER INCURRED AS A RESULT OF ANY DEFECTS OR BECAUSE OF ANY STEPS OWNER TAKES TO BECOME ENTITLED TO REPAIR OR REPLACEMENT; INJURY TO OR DAMAGES TO PERSONS OR PROPERTY RESULTING FROM ANY INFORMATION PROVIDED BY THE DEALER IF ERRONEOUS OR NOT APPROVED IN ADVANCE IN WRITING BY YELLOWFIN. THE REMEDIES SET FORTH ABOVE ARE OWNER’S SOLE AND EXCLUSIVE REMEDIES AND ARE IN LIEU OF ALL OTHER REMEDIES, EXPRESS OR IMPLIED, INCLUDING RESCISSION OR REVOCATION OF ACCEPTANCE. SOME STATES DO NOT ALLOW: (1) THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES OR (2) TIME LIMITATIONS ON THE DURATION OF AN IMPLIED WARRANTY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. RETAIL CUSTOMERS IN THE EUROPEAN ECONOMIC AREA MAY HAVE LEGAL RIGHTS REGARDING THE SALE OF CONSUMER GOODS WHICH ARE NOT AFFECTED BY THIS LIMITED WARRANTY. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE OR COUNTRY TO COUNTRY.
J. SOLE REMEDY AND ADDITIONAL PROVISIONS
Yellowfin’s obligations under this Limited Warranty are limited to the replacement or repair of materials or workmanship it finds defective, which shall be Owner’s sole and exclusive remedy for any claims of economic loss resulting from product defects or failure. This Limited Warranty sets forth Yellowfin’s sole warranty obligations and Owner’s sole warranty rights and supersedes all prior or contemporaneous representations, warranties, and agreements, both written and oral, and all other communications, including without limitation, all marketing materials. There are no warranties, representations, covenants, terms, or understandings regarding the Vessel other than those contained herein. No agent, employee, representative of Yellowfin, nor any other person, has authority to bind Yellowfin to any affirmation, representation, or warranty concerning Vessels sold hereunder, by course of conduct, in writing, or otherwise. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
K. DISPUTE RESOLUTION PROCEDURE
- Binding Arbitration. Any dispute, controversy, claim, dispute or disagreement relating to this Limited Warranty, including but not limited to the interpretation thereof, or its existence, which cannot be resolved amicably by the parties shall be referred to arbitration, which shall be the sole and exclusive forum for resolution and settlement of any dispute, controversy or claim between the parties. The arbitration shall be conducted in accordance with JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules by one arbitrator who shall be appointed in accordance with such Rules. The seat of the arbitration shall be in Miami- Dade County, Florida. All awards rendered by the arbitrators shall be final and binding and subject to no appeal. Any award of the arbitral authority shall be final and binding upon the parties with respect to all disputes, claims or controversies encompassed therein and the parties shall comply with said award without delay. The arbitral authority shall, in its award, fix, and apportion the costs of arbitration. The award of the arbitral authority may be enforced by any court having jurisdiction over the party against which the award has been rendered or where assets of the party against which the award has been rendered can be located. The parties further understand and agree that arbitration shall be the sole and exclusive forum for resolving any dispute, controversy or claim relating to this Limited Warranty. The provisions of this paragraph shall survive the expiration of this Limited Warranty, if applicable.
- Governing Law. This Limited Warranty shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of laws principles
- Waiver of Jury Trial. THE PARTIES EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
- No Prevailing Party; Each Party Bears Its Own Fees and Costs. To the maximum extent permitted by applicable law, in any claim, dispute, demand, arbitration, lawsuit, or other proceeding arising out of or relating to this Limited Warranty, the Vessel, or any alleged defect or representation, each party shall bear its own attorneys’ fees, expert fees, and all other costs and expenses, regardless of which party prevails. No arbitrator or court shall award attorneys’ fees or costs to any party under any theory (contract, statute, or equity), except to the extent a fee or cost award is required by non-waivable law. Arbitration filing, administrative, and arbitrator fees shall be allocated as expressly set forth in Section J (Dispute Resolution).
L. LIMITED WARRANTY VALIDATION
